When you import an fbx, your mesh , Material names & animations are carried over. you need to import the textures manually and apply them to your materials.
Blender FBX export is different from 3dsmax FBx.
what about the armature? it keeps deforming the mesh once i try to apply any rig like here http://imgur.com/fbWtbPj. any advice?
check rotations of your rig and export again. This looks like a problem at the part of armature. And sorry, i only answered about the texture.

All your objects have unapplied scales and rotations, including the armature. Before you do anything related to animating, you need to take care of this. Before you parent your armature and set weights, before you keyframe. Ctrl-A in object mode for each object.
okay i hit ctrl+a and i get a pop up, should i hit the rotation and scales?
Yeah, I’d do both. But note that if you’ve already keyframed stuff, this might screw those keyframes up. That’s why I recommend doing this first.
