Im trying to model car but i cant do it well with just images as reference so im using 3D model exported from game, if my car looks too much same as the original in game, even my vertices are in different position most of the time… can the game company sue me for using same XYZ coordinates for my mesh?
Anyone can sue you for anything. That is not the issue.
The issue is what will happen with what likelihood. You need to ask a lawyer to get a more or less good assumption on that.
Here you can only get some ideas.
First of all:
Do you have a legal copy of that 3 mesh?
Do you have the permission to use it in the way you do it?
Is there a way to proof that you are using it in a legal/illegal way?
Regardless of that the legal question is what of your work is protected and by whom. From your statement you create an own work with the help of the work of others. The protection depends on how much of the other work is included into your work. This is a difficult decision typically has no clear answer. Here you really will need a lawyer.
You also need to consider other aspects such as trademarks. For example, when you add a brand sign to your car it does not matter how the car looks like. The sign alone can become problematic to you. Especially on brands the judgement can differ compared to the complete model.
As said, you would need to discus this with a lawyer.
In practice: ensure the model does not look like the one you used as template. With enough differences there are less chances to see it as a copy. Finally you want to be able to tell which one is yours ;).

Short answer: No one is going to sue you for your stupid stolen model.
Medium answer: If your model is sold and becomes popular you might have issues.
Long answer: Model it yourself from scratch.
